Terms of Service
These terms govern your use of EngramPort, operated by Covenant Systems AI LLC.
1. Who we are
EngramPort is a product of Covenant Systems AI LLC, a North Carolina limited liability company. Throughout this document, "we," "us," and "our" refer to Covenant Systems AI LLC. "You" refers to you, the user or customer.
2. The service
EngramPort is a persistent memory layer for AI agents and tools. We provide an API and an MCP-compatible client that lets you store, retrieve, and synthesize memories that persist across sessions and across tools. We do not provide the underlying language model — you bring your own LLM provider key.
Service capabilities, plan limits, and pricing are described on engramport.com. Features may be added or changed; we will not silently remove capabilities you depend on without notice.
3. Your account
To use EngramPort you create an account using GitHub or email/password authentication via Supabase. You are responsible for:
- Keeping your account credentials confidential.
- Keeping your API key (the
ek_key) secret. We display it once at signup and cannot recover it; if it leaks, contact us to issue a replacement and the old key will be invalidated. - Activity that occurs under your account.
You must be at least 13 years old to create an account. If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these terms.
4. Payment, plans, and refunds
Free tier accounts are free. Paid plans (Hobbyist, Pro, Team) are billed monthly through Stripe at the prices listed on engramport.com. By upgrading to a paid plan you authorize Stripe to charge your payment method monthly until you cancel.
You may cancel at any time from your dashboard or by emailing support. Cancellation takes effect at the end of the current billing period; you retain access until then.
We do not offer prorated refunds for partial months. If a charge was made in error or you experienced a material service issue, contact us and we will resolve it case-by-case.
5. Acceptable use
You agree not to:
- Use the service to violate applicable laws.
- Attempt to evade rate limits, plan caps, or other technical controls.
- Scrape, copy, or reverse-engineer the service in ways not permitted by your plan.
- Use the service to store or process content that is illegal, harmful to others, or that you do not have the right to store (e.g., other people's private data without their consent).
- Use the service to generate or distribute malware, spam, or harmful automated content.
- Interfere with the service's operation or the experience of other users.
- Resell, sublicense, or otherwise commercialize the service without a written agreement.
We may suspend or terminate accounts that violate these rules. For clear violations we may act without prior notice. For ambiguous cases we will reach out before taking action when practical.
6. Your data; our platform
You own your memories. The content you store in EngramPort — the memories, namespaces, and graph structure you create — belongs to you. You retain all rights to it. You can export or delete your data by contacting support; the self-service UI for this ships in a later release.
We own the platform. The EngramPort service, including the API, software, documentation, and brand, is the intellectual property of Covenant Systems AI LLC. Your account does not grant you any rights to our code, branding, or platform beyond using the service as intended.
By using the service, you grant us a non-exclusive, worldwide license to host, process, and transmit your data solely for the purpose of operating the service for you. We do not use your stored memories to train models, sell to third parties, or for any purpose other than running EngramPort for you.
7. LLM providers and your provider keys
EngramPort calls out to your chosen LLM provider (Anthropic, OpenAI, Google, etc.) using a provider key you supply. The provider key is stored encrypted on our infrastructure and used only to make inference calls on your behalf. We are not responsible for the availability, pricing, or behavior of third-party LLM providers.
Costs you incur with your LLM provider are billed to you by the provider, not by us. EngramPort plan pricing covers our platform (storage, retrieval, synthesis orchestration, MCP relay) — it does not cover your underlying inference costs.
8. Service availability and changes
We aim for high availability but do not guarantee uninterrupted service. We will notify customers of significant planned maintenance. Unplanned outages will be acknowledged and reported on when they occur.
We may add, change, or remove features as the product evolves. If we remove a capability you actively depend on, we will provide reasonable notice. If we ever sunset the service entirely, we will provide a data export window of at least 30 days.
9. Termination
You may close your account at any time by contacting support; the self-service close UI ships in a later release. When your account closes, your memories and account data are deleted within a reasonable window. Backups containing your data are removed within 90 days.
We may terminate or suspend your account for material breach of these terms, including non-payment, abuse, or use that creates legal risk for us or other customers. Where reasonable, we will give notice and an opportunity to cure.
10. Disclaimer of warranties
The service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the service will be error-free, uninterrupted, or that synthesis output will be accurate. AI-generated content (dream synthesis, chat responses) is inherently probabilistic and may contain errors or omissions; do not rely on it for safety-critical decisions without independent verification.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these terms or the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, loss of business opportunity, or cost of substitute services.
These limits apply even if a remedy fails of its essential purpose, and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted.
12. Indemnification
You agree to indemnify and hold harmless Covenant Systems AI LLC and its officers, members, and employees from claims arising out of your breach of these terms, your violation of law, or your misuse of the service. We will indemnify you against third-party claims that the unmodified EngramPort service infringes their intellectual property, subject to your prompt notice and reasonable cooperation.
13. Governing law and disputes
These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Disputes arising under these terms will be resolved in the state or federal courts located in North Carolina, and you consent to that jurisdiction.
Before filing a formal dispute, please reach out to us at hello@covenantsystems.ai. Most issues can be resolved by talking to a human.
14. Changes to these terms
We may update these terms as the service evolves. Material changes will be announced via email or through the engramport.com homepage before they take effect. Continued use of the service after a revised version takes effect constitutes acceptance.
